Services Provided

ZIGOTE OÜ provides professional marketing services, including but not limited to digital strategy, advertising management, and brand development. The specific scope of work for any project will be outlined in a separate Service Agreement or Proposal provided to the client.

Payments and Invoicing

To keep our operations streamlined and secure, we utilize a strictly invoice-based payment system.

  • Payment Method: All payments must be made via bank transfer (SEPA/Swift) to the bank account designated on the invoice. We do not accept credit cards, cash, or third-party payment processors at this time.

  • Currency: Payments must be made in the currency specified on the invoice (typically EUR), unless otherwise agreed in writing.

  • Payment Terms: Invoices are due within the timeframe specified on the invoice. Late payments may result in the suspension of services or interest charges as permitted under Estonian law.

No-Refund Policy

All sales are final. Due to the nature of digital marketing services and the immediate allocation of resources, labor, and expertise:

  • All payments made to ZIGOTE OÜ are non-refundable.

  • This applies to deposits, milestone payments, and full upfront payments.

  • In the event of project cancellation by the client, no pro-rata refunds will be issued for work already commenced or completed.

Intellectual Property

  • Our Content: All content on our website (text, graphics, logos, and code) is the property of ZIGOTE OÜ and is protected by intellectual property laws.

  • Client Deliverables: Upon full payment of all outstanding invoices, the ownership of specific final deliverables (as defined in your Service Agreement) will transfer to the client. We retain the right to showcase the work in our portfolio for promotional purposes.

Client Responsibilities

Clients are responsible for providing timely feedback, necessary access to accounts (e.g., Ad Managers), and accurate information. ZIGOTE OÜ is not liable for delays or performance issues caused by the client's failure to provide required materials.

Limitation of Liability

To the maximum extent permitted by law, ZIGOTE OÜ shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, or data, arising from the use of our services or website. Our total liability for any claim shall not exceed the amount paid by the client for the specific service in question.

Disclaimer of Guarantees

While we strive for excellence, marketing performance is subject to external factors (market shifts, platform algorithm changes). ZIGOTE OÜ does not guarantee specific financial results, rankings, or conversion rates.

Termination

We reserve the right to terminate or suspend access to our services immediately, without prior notice or liability, if you breach these Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of Estonia. Any disputes arising from these Terms or our services shall be subject to the exclusive jurisdiction of the courts in Tallinn, Estonia.
